NTFS is newer and better file system.

FAT32 has many shortcomings:
- max volume size is limited to 32 GB in case of some OSs
- maximum file size is limited to 4GB minus 2 Bytes
- maximum number of clusters is limited to 4177918
- Unicode Character Set not supported for filenames
- Custom file attributes not possible
- No compression
- No encyrption
- No disk quotas
- No object permissions
- No sparse files
- No built-in security
- Minimal fault tolerance

If you are using more than one operating systems on your machine (say Windows and Linux), it's good to have a FAT32 volume. NTFS will be mounted as read-only in Linux, while FAT32 can be written to. So, it will be easier to move files between Linux and Windows, if you have a FAT32 parition.

Also, FAT32 performance is high on small volumes and low on large. In contrast, NTFS performance is low on small volumes and high on the large ones.

In short, you should use NTFS unless
* you've very small volumes
* you run more than one OS on your machine (in this case, format one of the volumes as FAT32, and rest as NTFS).

NTFS is New technology file system
and FAT32 is File Allocation Table
FAT32 is better if you are using the PC for personal use and does not require much of internet or server help
NTFS is better for big offices where Servers are used and big time works are done

ntfs is designed for server platform & which provides security as well as protect your hdd. It is also good for networking.while on the other hand fat 32 is only client base which is not able to provide this facilities in NTFS.NTFS is better

well the point that ntfs can only be mounted read-only is incorrect.
you can download ntfs driver for linux, and once u install that, u can mount ntfs as rw.

the driver file name is typically
linux-2.4.26-ntfs-2.1.6b.patch,
but you got to find the one that matches your linux kernel version.

google/yahoo search for the driver that suits your linux kernel version.

If U run a Server or a Network & going to make Database on it then Get the NTFS
If not get the Fat
If U have more than Partion & Going to have lot of Stuff on ur PC get NTFS
If U have one partion get Fat32
NTFS just more option & much Security .... But that not mean Fat is bad .
