It seems to depend on where you are, and even then it's not quite clear. In the US, you rarely hear the term "flat," but it means apartment. "Flat" is used in Britain. Generally, It's used interchangably with "apartment". In San Francisco, the word "flat" is usually used to describe an apartment that takes up an entire floor of a converted victorian house. A Seattle rental site says that a flat has its own street entrance, whereas an apartment can only be entered from inside the building. Other variations are listed above, there are regional differences.
BUT, a loft is usually a converted warehouse divided into apartments, with soaring ceilings and exposed brick. Or, it may be a building where commercial space is on the first floor, and "loft style" apartments are rented in the floors above.
Generally, loft apartments have one open room having the bedroom in a loft while the kitchen and living room comprise the first floor.

A flat can mean different things in different regions, however, pretty much everywhere it means that the entire apartment is all on one level.
A loft usually means a flat open area, directly below the roof, that is open to a larger area below. Like a hay loft in a barn. Many town homes in Denver have a loft master bedroom. The upstairs is just floor and a master bath, with a half wall looking down into the family area. A loft apartment may or may not look down below, but will always be on the top floor. Usually a loft apartment will also be a studio apartment.

A flat is the same thing as an apartment (depends on location what people call them). A loft can be an apartment as well, it is just a style of apartment that is usually set up high. You have heard of an artist loft I am sure.

Its a little more than that Rick B. a loft is double volume and the "second floor" if you will is actually a balcony inside the house. flat has no balcony and if both have the same number of rooms your loft will be more expensive - New York set this trend if I'm not mistaken

A flat is different from a loft! (Ha...Ha...)
A loft is the space inside the sloping roof of a house where things are sometimes stored! Sometimes, for want of more space, people may convert that space into another bedroom, thereby adding considerably top the value of a house!

loft is an apartment with high ceiling so an 'extra room' can be made inside (upstairs, like a balcony)
