how do you go about getting corporate bylaws? and 2)we are in the process of getting a business account what kinds of documents would we need? what kinds of forms? any tips?

The best routes to take are to research the process of starting a business as well as the industry you're interested in.

I recommend checking out the SBA, Entrepreneur, The Start Up Journal & Nolo. All 4 are great informational resources for the new/small business owner. I posted links for you in the source box.

Research, research, research – this cannot be stressed enough. Read as much as you can. Here are some book titles that are relevant:

* What No One Ever Tells You about Starting Your Own Business: Real-Life Start-Up Advice from 101 Successful Entrepreneurs (What No One Ever Tells You About Starting Your Own Business) by Jan Norman
* Business Start-Up Kit by Steven D. Strauss
* Start Your Own Business (Entrepreneur Magazine's Start Up) by Rieva Lesonsky

Your lawyer. The word "lawyer" itself should tell you that way won't be cheap. There are websites which charges like $50 for a generic simple corporate bylaw and all you have to do is add your company name in the inserts.

Other than that, you'll need to fill out a SS-4 for a Federal ID number which you can do online. It takes about 15 minutes to fill out, submit it, and the IRS will give you an ID number right away......and it's free.

Check with your state's Secretary of State website to see if the business name you want is taken also. Some states charge you like $10 to do the search while other states, it's free.

Going to a site like Inc.com and looking at their Small Business help info will be a good start.

Do you have a Small Business Administration office nearby? Make an appointment. Their site is www.sba.gov.

There are sites like bizfilings.com that will help you incorporate - but I HIGHLY RECOMMEND having both a good lawyer and a good CPA sit down with you before you do ANYTHING. It's an investment that will pay back multiple times.

Do you even know if you want to incorporate? Do you know if you will do a C corp vs. S corp and the tax ramifications for each? Or an LLC?
