Don't you think she knows that she's overweight? If you tell her, do you think she'll be suprised? Do you think that your comments will help the situation or damage her self esteem more so that she eats more?
What exactly is your goal here, I guess is what I'm asking.
How about instead of telling her she has a weight problem, you make sure to include healthy choices in your outings. Encourage her to go walking with you. Eat at places that are healthier. Buddy up with her instead of just pointing out her problem.

You don't. They are probably more aware of their weight gain than you are. My one suggestion: tell her you have noticed some changes in her appearance and ask if she has seen a doctor. She may have PCOS, be hypothyroid, or have a metobolic disorder. Also reassure her that she is beautiful and wonderful just the way she is because gaining weight is often an unconscious attempt at protecting yourself. Another idea: involve him or her in activities that revolve around being active - like a hike instead of the movies.

Don't talk to her about her weight, talk to her about her health. Whether or not she plans to have a family in the future. If you have any extra weight at all, use yourself to broach the subject. Don't be too obvious or over the top - just be honest. Talk about worrying about staying fit in old age, or so you can play with your kids, self-image, confidence, etc. Good luck. Often sitting down and reminising over old photos can really smack you in the face with weight gain. Perhaps that's a subtler way without saying anything at all.

You don't. I am sure the person is aware that they are overweight...Not to mention, you have no idea if the person is overweight due to things beyond their control. Maybe they have a medical condition.. or takes meds that cause weight gain.
I wouldn't mention it at all.
You could tell the person that you are thinking about starting an exercise plan and just ask if she would want to do it with you.See what her reaction is.
