I'm partial to Jim's Steaks on South Street in downtown Philly. Actually all of south street is one of my recommendations too.. Cool shopping, restaurants, people watching, etc.
The Franklin Institute is cool, and don't forget the Art Museum/Rocky Steps and statue. I think they have a fireworks display there New Year's Eve.
Boathouse Row is great too, especially at night. Rittenhouse Square is also fun at night-- cool bars.

Everyone is going to tell u something different as to where to go for Philly cheesesteaks. Ive lived in Philly for 28 years and my favorite is Tony Luke's. The rolls are great, the steak is great and there is no strings of fat, as compared to the other ones. If you like that, try another one. There is also Jim's, Pat's and Geno's. The close second for me would be Jim's. When youcome, you should check out South Street during the day. There are so many shops, restaurants, bars and people. At the end of South Street you can walk down to Penn's Landing. Another must see in Philly. Be sure to check out the Art Museum as well, even if its just to walk around outside. There is a lot of good dining in Philly, I would recommend tryingthe Rittenhouse Square area or even some restaurants on Broad street near the theaters. Walnut Street in philly has a lot of great shops also. If you are interested in the nightlife, the Old City area and Rittenhouse area have some great bars, clubs and lounges. New Years?
Well Your best bet is Columbus Blvd. First, thats where the New Years Eve fireworks are. 2nd, The street along the river as many clubs and resturants to vist. From Dave and Busters to Club Risque. The Ice skating ring will even be open then. So you can have you food and fun in one spot. Avoid the tourist traps of Pats & Genos. Hell, you get a a better steak at 52nd& Girard. A 2 footer too. As for New Years day? You could go to City Hall and watch the Mummer parade.

was in philly about 10 yrs ago place called delaware stayed with husbands family.fantastic holiday went to new jersey on the boat to new york by train and wildwood by bus (poor mans vegas tacky but great) the best philly cheese steak was from a shopping mall believe it or not.only thing i hated was the humidity but dont think u have that problem in january.have a fab time very jeleous.

There is a big debate over whether Pat's Steaks has the best cheesesteaks or Geno's. Lucky for you they are across the street from each other at 9th and Passyunk in South Philly.
Visit both early in the afternoon. Geno's is open late-night.

There are many historic sites to visit in Philadelphia. Independence Hall and the Constitution Center are on my "must visit" list for first time visitors.
Visit the Philadelphia Zoo if you have time while you are in town. I love the zoo in the winter, because you don't have to fight crowds.
Cheesesteaks are great in the Philadelphia area. Just ask the hotel or the people you are staying with where the local good cheesesteaks are located.

DON'T go to either Pat's or Geno's. That's low grade dog food at best. I'll agree with the Jim's recommendation, since that's my favorite too. I've heard good things about Tony Luke's as well.
On New Year's Day, make sure you check out the Mummers Parade on South Broad Street.
Oh, and please don't go to where Will Smith grew up, unless you have a permit to carry a concealed weapon.

Be sure to go to Chinatown, around 6th & Arch. There's a great scene there. The only place to be right at the New Year is at Penn's Landing. Try one of the little bars around 2nd & Chestnut (old city) to warm up. Great cheesesteaks are everywhere!
