Go to the Charity Commission before anything else. They will advise you on what constitutes a charitable purpose, on the appointment of charity trustees and on the keeping of accounts. And it will cost you nothing! www.charity-commission.gov.uk.

It is complex. However, if you are located in England or Wales you can contact the charities commission they will send you a pack that will guide you through the process.

There are a number of issues you will need to address such as who you will be benefiting and who the trustees of the charity will be (they cannot be employees)

We found the charities commision to be brilliant. Cannot recommend them enough.
