Batman could play it nasty and deadly over Spider-Man. Spidey has superior strength and his spider sense, but Batman knows enough ways to kick your butt into next Tuesday that say it's Bats by a Bat-a-rang!

Depends.
Is spiderman still working for Iron Man? If so he has unlimited rescourses AND that new spiderman suit that is like a "spiderman" version of Iron Man. If so Batman has absolutely NO chance against him.
If not then that would mean it is just plain old poor, broke spidey. He may be more powerfull than batman, and in hand to hand would destroy him, but bats is ultra rich. He routinely kicks superman's *** because of his money and study of his tactics and abilities.
Bats may be outclassed, but his money tips the scales in his favor. I don't think batman could kill him though because didn't spiderman have the power to "resurect himself" after he dies now?
If spiderman is working for tony stark, he has acess to the resources of tony stark and stark enterprises. Chances are they are also fighting because stark told him to. With the backing of Iron Man batman has no chance but he would likely win if spiderman doesn't have Iron Man's rescources.

It would be a tough fight, I mean on one hand, spider man has the proporionate strength and speed of a genetically enhance spider, can cling to walls, and has those web-shooters, not to mention his spider-sense, which gives him lightning quick reaction times. And on the other side, Batman is the epitome of what a "normal" human being can become, both physically, and mentally. He's trained in several disciplines of martial arts, and he has loads of crime fighting gadgets and a near limitless budget at his disposal. Both peter parker and bruce wayne possess genius level intellect, and battle honed instincts developed over long crimefighting careers. I think it would probably come down to which one could out think the other.
I'll have to give the edge to spiderman, because he's got the super-senses and the quick reaction times. He'd also break Batman's focus with all of his witty banter.

I think Batman, because he is meaner & tougher than Spidey. Spidey is stronger & has super powers, but in a fight to the death, I would pick Batman every time.
Unless he was fighting Superman, then all bets are off.

Batman would win. Because Spider-man is a good guy and wouldn't kill him. However, in a fair fight Batman would run home crying to Robin.

SPIDER-MAN would win a fight to the death. He would win by using every ounce of his own strength and intelligence to survive the fight to the death. Go get him, Tiger!

Batman could easily take Spidey down.
Bats has already taken down heavy hitting supers on par with the Justice League... by himself!

Batman is limited to his equipment. Take away his throwing bats and grappling hooks and all he will have is his martial arts abilities and his mind but Spider-Man would still have super strength, speed, spider-sense, reflexes, agility and he could stick to things.
He could take Batman out easily.
