First you need to update you laptop from Windows 98 to Windows XP. The two operationg systems use two different file systems and you won't be able to transfer anything over. Get a crossover cable from Staples or some other office supply store and plug each end into the computers NIC cards. You can then transfer all the files from one to the other. As far as programs are concerned you will need the install files for programs because you cannot simply take a programs file folder and swap it from one computer to the next because it won't work.

** You dont need to update win98 to XP.
Several Ways.
1. use any flash memory card and transfer the contents.
2. use networking:
a) LAN connection: use a "reverse cable"(need some basics here seach web for more) and connect each other. Install Netbios and NetBEUI protocols and transfer the contents.
b) Use Wi Fi connectivity: Here you need wifi cards on both computers. Use the utility given by the Wi Fi vendor (than windows Wi fi connection program) to connect ur PC and Laptop.
(Using networking then turn off your firewall(if any) in case of network problems)
3) CD/DVD: Use Rewritable CD/DVD to transfer the data. easy and cool method.

If you are using a high speed internet, there is a software that allow you to upload 2GB files for backup. The cost is free. You can download the same software on the laptop and you'll be able to move the files easily.

Not sure how to network the computers, but I do know you would need a router to do that. The easiest way is with a flash drive. Or you could just do it with a CD.
