An Exchange server is a Windows based mail server.

There are cheaper and better alternatives to Exchange. Try Zimbra.

Exchange server is a messaging and collaboration server. This means it of course runs your mail bith internally and externally but that is not all. Calendar and contacts sharing, data archieving, message filtering, Remote email access, remote email syncing, the list goes on and on.
