The first one.
Undertaker is too stuck up with his only wrestling during PPVs, Stone cold is pretty messed up in his knees, Kane has been made lame since they took his mask off, the Rock is too busy worrying about keeping his face pretty for movies (especially to be in a hardcore match), and Hulk Hogan is getting pretty old (not saying he can't wrestle, he can, but I'm not sure about hardcore).
The first match has active wrestlers who would be very interesting to see in a TLC match. Especially with the high flying off the ladders with Rey, Hardy, and RVD.

the first one cause rey and john are in that match and were ever rey is at a match he puts on a big show

2nd one ofcourse,coz all the wrestlers in the 2nd match are proffesionals and all of them rock.
The first one would be good but not as good as the first.
