All of these companies work the same way.

Depeartment stores buy clothing with credit from a flooring company. Flooring companies are used to borrow money for the short term until the item sells. Clothes, cars, stereos, they all uses florring companies.

If the item doesnt sell in a month, the retail stores has to pay the interest on the money they borrowed.
If the item sells, then the company pays for the item plus the number of days interest that it took to sell it.

Back to your question.

When the Polo shirt didnt sell in 60 days, Macys sells it to one of those closeout stores, so that Macys does not have to pay an additional months worth of interest. Its cheaper to sell it to a close out store, and get it out of the store, because new clothes are arriving at Macys and additonal space is not available.

Macys probibly bought the shirt for 20, and sold it for 27 or 28, which then allowed it to be retailed for 34.

The clothing manufacturer actually makes a "low end" version of their product to sell at places like TJMaxx. Usually the low end version will have a slightly different fiber blend but otherwise they are identical in appearance. That's not to say the item isn't still of good quality, but it isn't what they consider top of the line. Many high-end companies do this as well as selling last year's style at discounts as well.

Of course some also sell seconds or rejects to these places too, which may have a minor flaw in them.

Say the manufacturer made 1000 shirts and can only sell 500 to places like Macy's. They sell the rest to off-price stores like TJ Maxx. Also sometimes the ones at the off-price stores are irregulars or seconds, but if that is so they are supposed to be clearly marked.

they usually buy the irregular clothes, like the stuff you would find at an outlet store. the irregularities are usually very small, like the stitching was messed up on a small part of the shirt.
