presently i have a P4 256 mb ram 3.06 hz processor.. no ir transmitter or tv tuner...i m using xp and does this config satisfy me to install the media centre version of windows..
also ... can have an external hardware upgradation so that this pc can b made compatible for the mce or the vista version of windows ??

Your computer is not compatiable for Windows Vista. They are not easy to digest for operation system because they requires about 512mb memory and 4GB for hard drive space.
You should stick with Windows XP.
Windows Media Center may includes with Services Pack 2 which requires 256mb but that will max out and make your computer run slow.

Here's a link from Microsoft's VISTA Homepage for a program you downlaod and run that will tell you (and list) anything that you need to upgrade in order to use VISTA.....
