I want to sell softwares on ebay. I have downloaded some softwares from www.download.com i have serial keys for that.Is this legal or illegal

You should check with the original creators of the software. In order to be legal, they would need some sort of royalty payment.

I'm not entirely sure.. but I don't see why it would be a problem. Others on ebay sell things that they dug up for free on the internet. Why not?
