Deinosuchus : Deinosuchus is an extinct genus of alligator from the Upper Cretaceous (Campanian) of North America. It is thought for several decades to be the largest crocodilian that ever lived. The animal's total length is more than 15 metres and its weight is more than 8 tons (over the size of a city bus). It most likely preyed on fish, dinosaurs (especially the abundant hadrosaurs of the time), and anything else that strayed too close to the water. And remeber that it walked on its four legs on the ground.
T-Rex: it was the largest known tyrannosaurid and one of the largest known land predators, measuring over 12 metres (40 feet) in length and weighing over than 7 tons. Large bite marks found on bones of other dinosaurs indicate that these teeth could penetrate solid bone. T. rex could eat up to 500 pounds (230 kg) of meat and bones in one bite!..Remember that it walked on two legs on the ground

Deinosuchus. Because he could attack from the ground and make T-Rex fall. Then he would be able to easily strike to kill.

The current theory of T. Rex is that of a scavenger. Sure, if it happened to get those monstrous jaws around you then that would be it. But it can't use those tiny arms to do it, so they wouldn't be much use in a fight. By default, Deinosuchus would win, although I know nothing about this lizard other than what you have provided above.

T-rex was Maastrictian, so it is imposible. But, to put your hypothetical to work, T-rex would win because it was faster, agile, and warm blooded, so it could stalk it at night.
