a lounge tends to have a single performer with a large seating area and either a very small dance floor or none at all. The music is usually low enough so that people in the lounge can talk to other people around them without having to shout.

a nightclub is mostly dance floor with very limited seating. The music is louder and often faster and the bartenders charge way too much money for watered down drinks.

There are exceptions to every rule, but a nightclub always has a dj and a dance floor, and typically a lounge does not. Lounges also have more seating.
Recently it has become more popular for lounges and even restaurants to hire djs during their peak hours.
