Centrino is just a designation by Intel. The processor you have is a Core Duo (aka. Centrino Duo) and is Windows Vista capable. The Intel Core 2 Duo is the latest and fastest Intel processor and is the successor of the Core Duo.
The only problem you might have, is the decent grahics card GMA 950 (this is the correct designation). Intel® 945GM is the chipset, not the graphics card.

Core 2 Duo is newer, runs faster, and most importantly for laptops it uses less power. So absolutey there is a difference, and the Core 2 Duo is better.

The Centrino Duo is really just designed to have lower heat output and better power efficiency.

Also, you should be okay to run Vista Premium.
