I'd look into both your Energy Saving and your Telephony options on your machine, should be under the Accessories or Programs menus from your Start button (or equivalent in XP).
Did your telephone *ring* before the computer did its restart? It doesn't matter whether you have the ringer turned on or off, or if you have an answering machine answer the phone, or if you answered it yourself, a lot of computers these days come with some manner of primitive *voicemail* or telephony software and *will* power on whenever the phone rings....if you want to have voicemail on your computer, either by way of Yahoo Messenger or otherwise, then you will have to put up with this but if not, disabling the option shouldn't be that hard.
And if it isn't from the phone's ringing? Then you're stuck, basically. Sorry. From Win 2000 on, there seems to be some sort of "Smart Power Management" code that simply will NOT let the computer stay turned *off* if you shut it down normally....
Unless of course you get into the habit I have now of turning it ALL off at the circuit breaker immediately after Shutting down. ;) Seriously, I don't care *how* "Smart" that Windows Power Management *thinks* it is, if there is no juice coming in from the outlet, *nothing's going to half-randomly turn on*. :D
Hope this helps. And I hope televisions don't end up like this....really, the only things that need to power on automatically are fridges and heating (air-conditioning) systems. :)

There is a setting in the bios that makes the computer restart if power is lost. If your operation system is not shutting down correctly it may assume that power was lost rather than a proper shutdown.

Do you have weekly scheduled virus and anti-spyware programs which do a scan on a regular basis? If so that is why. Or your cat, little brother or little sister are pushing the on button because they've seen you do it.

You must have it check for viruses. The most common sign of this is that PC turns off, re-starts or does something like this when you don't command it.
