Being pleasant and upbeat around her is always a good start. Show her you respect her. Not mentioning the fact you think she is dingy is a bonus, even if you find this trait charming.
Then, when it feels right, just say "Hey! Do you want to go out sometime?" It really can work! If she doesn't say "yes", at least you can console yourself with the fact that you really tried. The best of luck, whatever happens.
