what is fair? as a down payment and how do we know how much our royalties should be? should be get a lawyer?

I would definitely contact a good attorney. Preferably one that is well versed in land use issues. The people making you this offer have lawyers working for them, and you should too, especially that you will be giving up some of your rights that you currently have as a landowner.
Now, even if you decided not to accept this offer, I would still contact a lawyer just to make sure they do not weasel in around you.
