I have 3 TMX Elmo, one of them says : WARNING on the box, the other 2 TOP SECRET.
I want to sell them on the Web, is it true that one is worth more than the other and could sell for more money?

There are 2 verisions th e1st day release one and the 2nd round of shipments to stores. The TMX elmo you have is not really worth anymore than the other at this time. Maybe in 10 years it will be. As of now the elmo packag eyou speak of and the other are both found at the same price.
Currently (as of today) TMX elmo is SOLD OUT everywhere. There will only be 1 more shipment or wave of elmos to het the stores before christmas per fisher price and walmart gossip. Mid october there may be another round hitting the stores but not as many as the first.
TMX ELMOS can be found for sale on ebay ofr an average of $100 - $200 each and the price is the same for both packages that you mentioned
I ordered mine off of ebay at http://www.bluefungus.com/tmx and got it already.
Beware of the ones on ebay because many ebayers are selling the spanish speaking elmo as the english speaking one.
So the different packaging has not raised the cost yet. I would save one of each for a bit and maybe close to christmas you can get $300.00 per.

The cheapest I have seen one sell for on EBAY is $75 dollars so I think your going to win any way you do it, I'm sure if it is worth more, someone will be willing to pay it!
