Did chevrolet sell off their old designs and equipment to this overseas company or is it just a coincidence that these cars look similar?

Holden is an Aussie company, they work with GM on certain projects. Like the GTO.
Holden played a big part in the design of the new GTO. I actually go to college with a guy from Austrailia and he worked for Holden for years and even helped with designing the GTO.

It's a GM thing - Cevrolet in the USA is roughly the same as Holden in Australia.

Holdens sometimes provide the basic design for new Chevrolet's (see link)

Holden is the GM company in Australia. (Like Vauxhall in UK). They switch car designs all the time. The new Pontiac G6 is a Holden design for example.
