i'd like to add to both previous answers these considerations:
the specific difference between both terms depends on what country (or what echonomical system) you were talking about.

generalizing, the underground economy:
- is possibly missing from official statistics
- is possibly out of taxes circuits and systems
- it may refer to "mercado *****", when some product is hard to get or forbidden, or regulated in some way by the gov.
- it may refer to the whole "trabajo en *****", meaning all the circuits of employment out of the laboral, sindical and health laws
- etc.
