The CW is a merger of the WB! and UPN networks. The "C" stands for Columbia (Broadcasting Company), which owned UPN. The "W" stands for Warner Brothers, who produced the WB!.
Neither network was extremely profitable, so after long negotiations the two networks decided it would be better in the long run to merge their programming into one network. And as such, most markets with a UPN and a WB! affiliate were without affiliation, depending on which station the CW decided to sign up with.
With many stations without a feed, News Corp saw an oppertunity and started up MyNetworkTV. MNTV only has two programs, which plays every night of the week. (They're imports of Spanish telenovellas, a show which only plays for one season. Then, when the story arc is done, the show is done.)
The CW so far has been doing well in the ratings, so we know that the merger was a success for both parties.

Both WB and UPN lost their stations. In my home town our WB became the CW, the local UPN became My TV Network. However there are other places where the local UPN station became the CW

Its UPN(owned by CBS) and the WB. Why the WB was the one to give up their channel and not UPN, I don't know. Some of the shows in the new lineup aren't the best choice in the world but they were trying to have something for everyone.
