ONLY accept this trade if you have at least 2, probably 3 other RB's you have that are better then Droughns. And assuming you drafted Jones to be your #2, you would be placing Droughns in to your #2 spot, and that isn't good. Not only is the O-line for Cleveland bad, but Droughns is dinged up and didnt play today.
Yes, getting Palmer & CJ are better then what you are giving up (even though Eli's stats have been better so far), but the distance between Droughns and Jones, who hasn't split carries as much you'd think (and, the more Julius Jones keeps hearing that they are going to give more carries to Barber III, don't you think that motivates him to be better? just a thought) is rather drastic.
As I stated earlier, I would only accept this trade if you have someone else you can start @ RB besides Droughns. Remember, fantasy football isn't about last years numbers. Last season, Palmer was generally taken as a backup QB in many leagues and I'm sure someone that may have drafted Culpepper and Palmer, probably started Culpepper until he got hurt because they based their starting QB based on Culpepper's previous year's numbers and not what was currently happening.
It's like the Bears and their RB situation. It is quite obvious that Thomas Jones is the better RB, but everyone feels compelled to say Benson should be the starter because he was a high draft pick. While money is also an issue, my point is it should be based on current production and potential, and right now Eli is performing better then Carson and Julius is much better the Reuben.

By all means pull the trigger on this trade! Palmer is arguably the second best QB in the league, while Eli is still learning to be a QB. I expect Eli to get better, but don't expect him to be the caliber of Palmer. Chad Johnson, may be the best WR in the league, if not he's in the top 3. Wayne is the second receiver for Indy behind Marvin Harrison, and while he's a decent #2 fantasy WR, he will never be a top 10 WR in the game. Jones is much better than Droughns, but you've got to give something to get something.

The trade would work to your advantage with the exception of Rueben Droughns. Reggie Wayne is only a complementary receiver because as long as Marvin Harrison is there...he is Payton's go to guy. Julius Jones is a better back than Droughns simply because he can keep himself out of jail. Eli Manning is really overrated because of his brother and father. He's not as good as everyone seems to make him out to be. If you can start Carson Palmer over Eli Manning...you've made a very good trade.

This is a decent trade, but you have to worry a little about Carson Palmer and Chad Johnson being on the same team. If they do well, you get double the points, but if Palmer struggles, then Johnson does too and vice versa.

Hit accept as soon as possible.
Carson is slightly better than Eli
Chad is way better than Wayne
JJ has to deal with sharing time with Barber, Droughns has a crappy offensive line so this washes out.
Kicker in this whole deal is that you get a much better WR and you get the double team action. Any tds to Chad Johnson means points for Palmer and Johnson.

Don't do it....Carson for some reason has thrown too many interceptions and Eli will come around. Rueben Droughns isn't that good...at least not as good as Julius Jones. And Cincinnati has too many targets this year.

It's a good deal for you if you have some other good RB's. Palmer and CJ are better than Eli and Wayne, but Jones is better than Droughns. Make the deal if you have one or two good RB's.
