Hardware I want to use with it:

1.5gb ddr pc2100
Nvidia fx5500 (256mb, agp)
Pentium D 940 3.2ghz 800mhz fsb
2 ide dvd readers
1 Ide hdd
500watt psu (20+4pin)

I think all will worktogether the main things I concerned about is cpu and ram

I hate to differ from the previous answer, but I do believe that your memory isn't fast enough for the motherboard you cited. If you check on the Crucial website (http://www.crucial.com) it indicates that your motherboard needs either PC2700 or PC3200 DIMMs
