King Kong has more heart and soul and I think he'd put up one hell of a fight, but Godzilla would definitely win it. I think they should fight somewhere like Paris - Kong could climb the Ifel Tower

Godzilla walks through King Kong. Too big.
Plus he's got that atomic breath.
