This is the Superstitions and it does not say it has to be heads up but it does say to give it to a friend lol

It's only if you believe in luck. Face up = good luck. Face down = no luck. The phrase is like this: Find a penny, pick it up, and all day long you'll have good luck.

howver if you pick it up it has to be handed over to a person standing near you for the coin to work can be heads of tails either way you have to pass coin on after you have picked it up.
