The main reason for having a 64 bit operating system over a 32 bit operating system is how much memory it can access. 32 bits can access up to 4 Gig (even though in Windows XP this is usually even limited to 2 Gig). To go over 32 bits. With 33 bits you get to 8 Gig, 34 bits 16 Gig, and so on doubling each time. So a 64 bit operating system can have vast amounts of memory for big tasks like corporate databases and such.

You should not notice a real difference. A 64-bit operating system is written for 64-bit processors. Just means it can handle larger numbers.
