If you want to completely do a new installation and delete all of Windows Me, then you would need to format and install XP. This will require a full version of Windows XP (not the upgrade). If you have an upgrade version of XP, then you can simply pop that CD while in Windows Me and perform an upgrade. See the steps below.
HOW TO PERFORM A QUICK UPGRADE TO WINDOWS XP.
(Before proceeding with the steps below, make sure you backup all important files)
1. Turn on your computer.
2. Scan for viruses.
3. Insert the Windows XP CD into your computer's CD–ROM drive.
4. After your computer automatically launches the CD, click Install Windows XP.
IMPORTANT
If your computer doesn't automatically launch the CD, start Setup manually:
• Click Start and then click Run.
• Type the following command, replacing "d" with the letter assigned to your CD-ROM drive:
d:\setup.exe
• Press ENTER.
5. When you're asked to choose the type of installation you want, select Upgrade, and then click Next.
You can upgrade to Windows XP if all of the following are true:
• You're already using a previous version of Windows that supports upgrading. These include: Windows 98 (including Second Edition); Windows Millennium (Me); Windows NT 4.0 Workstation (Service Pack 6 or later); Windows 2000 Professional; or Windows XP Home Edition. (Windows 95 and earlier versions do not support upgrade to Windows XP Home Edition or Windows XP Professional.)
• You want to replace your previous operating system with Windows XP Home Edition or Windows XP Professional.
• You want to keep your existing files and personalized settings.
If none—or only some—of these are true for you, perform a new installation. For more information, see New Installation.
6. Review the license agreement and, if you agree, accept it.
7. Enter the Product Key from the Windows XP folder.
8. Review the text for performing Dynamic Update. If you wish to perform Dynamic Update, select Yes, and then click Next.
Windows installation starts.
IMPORTANT
You must have an active Internet connection to perform Dynamic Update.
9. When the "Welcome to Windows" screen appears, follow the instructions to complete your upgrade.
10. For Windows XP Home Edition, go to the "Explore Windows XP Home Edition" card (in the Windows XP folder) for information about using and setting up your computer. For Windows XP Professional, go to "Configure Windows XP" for information on setting up user accounts and network connections

You just need to insert you Windows XP CD and it'll ask for do you want an upgrade or a clean install. Upgrade means it'll upgrade your OS without removing your data, setting and programs. Some programs may require re-installation but usually it works without.
If you want a clean install, make sure you have taken a backup of your C drive -default drive for installation in some DVDs / CDs / other drive. Insert the CD in the drive and restart the system. As soon as the boot screen appears, press F2 repeatedly till a BIOS screen comes up and in the look for boot sequence [it varies from computer to computer]. Once you do, choose CD ROM as first preference and press F10 to save the changes and exit. The computer will then restart and you simple need to follow the instructions on screen. Usually takes about 30-35 minutes on new computers. Keep the cover of the CD handy on which there will be a 25 Digit Alpha Numeric key which is required during installation.

I saw this question last week and told the person they could do it but this week I say no. A customer came to our shop with a 98 that had been upgraded to xp and crashed. It was a big mess but I finally got win 2000 running on it. I added more memory since it's best to have 512 mb otherwise it's going to be slow. A bios upgrade might be necessary (flash bios) but I didn't have to do it on this computer.
So what's my advice? I would install a second drive and use copy commander to copy everything to a used drive. Then upgrade and when it crashes you can always re-install by putting the other drive back in your computer.

Reformat the pc. Get XP start-up disks from http://www.bootdisk.com It is a 6 disk setup, and select them accordingly as to whether or not you're using XP home with whatever service pack you're using. Or XP Professional. This way, you can do what is called a clean install!

I would get a program that has a gwscan that will erase the hard drive, then do a clean install of Windows XP.
You can also just use the software and do an upgrade.

just put the windows xp CD in your CD-Drive. The auto run setup will check for softwares that are not compatible to the windows you are upgrading to. if they are found remove them not delete them. After that restart the setup and your windows will be upgraded..
