Atmosphere: Build an enclosed structure and pressurize it with a mix of gases equivalent to Earth's atmosphere.

Gravity: If you impart a spin upon the asteroid, you can simulate gravity. This is harder with a larger asteroid.

Water: Currently, it would have to be brought from earth, but the asteroid settlement would need to use the best water reclamation techniques so their water would go further.

Food: Most would probably have to be brought, although it could be grown using hydroponics and waste reclamation.

Why would you even want to? Collisions are happening all the time within the asteroid belt. Think of it as a big pool table, one roid hits one roid bounces off and hits another and this process continues on and on and on.
