When it asks you to press a key to start the CD then do as it says and the Windows installer will begin to load. This will allow you to format the hard-drive, thus removing the old Windows installation, then install Windows again from the CD.

Alternatively you might just want to erase the password from the currently installed version of Windows and use that instead. Here is a link to some programs which can do that for you:

Go to Snapfiles and download RockXP. It will give you your Windows XP key, office key and passwords. But which password is which? You will just have to write them all down and try them all one by one. This only gives passowrds stored on your Hard drive. Your computer password could be in the Bios. that is more complicated and may involve removing the rechargeable battery - or even changing the bios. You could try holding down the delete key while it's booting up and get in to the bios. But I doubt if that will help. Unless you can guess the password.

It sounds like the cd isn't booting properly because wether you have the password or not booting from the cd should take priority. If you have a windows 98 boot disk (www.bootdisk.com) you can boot via the win 98 floppy and format the drive (if you plan to wipe it anyway.
Boot from the floppy at the dos prompt type fdisk (this will allow you to delete the current partition) then try booting from the cd again.
