Career growth and pride for your employer is the most important thing. Go for the large company even at a lower rank. Your effective rank can be translated ten-fold when compared to other companies. Getting your foot in the door of a prestigious company is the first step. This is very enviable.

I would go with the most stable company with the better benefits. Usually that means sacrificing your rank and going with the bigger company, which also usually means more advancement openings and opportunities later on. Look on the bright side though, if you do your job well, you will move up and get your rank back.

It all depends on what you are looking for. Compare benefits and social atmosphere. Are you looking for money or pride. Make a table and list what you want in your career. If your looking for fast money go with the manager if your looking for long term commitment that will pay more in the end join the bigger company and work your *** off to be the best at what you do and get promoted.
It all depends on what you want in the future. You may have to be more specific in this question. Details about both jobs.
