Besides the fact that the WCW continuously pushed wrestlers into storylines that made them look larger than life itself with not many questions asked, Vince McMahon's wallet was the final blow.
A wallet that fat, along with his proclaimed "huge grapefruits", would make anyone very easily/very quietly bend over and take it up the backside without question.

1) Backstage Politics
see: Hulk Hogan
2) bad contracts
- you're paying a bunch of guys that are very old a bunch of money. and because of that, you are losing money. Fan apathy of these certain wrestlers who made the most money didn't help either.
3)management from way above.
-when I mean way above, i'm not talking about WCW, even though Management at the WCW level was terrible. I'm talking about Ted Turner and Time Warner. When they merged with AOL to become AOLTW, they basically wanted to phase out WCW. So Eric Bischoff and some other guys wanted to buy WCW from AOLTW. But the thing is, AOLTW did not want to carry wrestling anymore on TNT or TBS so they would have to find a new channel. Vince swooped in
There were a lot of reasons for the fall of WCW, but I think the thing that hurt that most was the AOL/Time Warner Merger and Ted Turner eventaully leaving as a board member of Time Warner.

Unwise spending, bad booking, outrageous guaranteed contracts, and not cultivating their own talent. Mcmahon is great at growing his own wrestlers.

Vince and the WWE gave Bischoff and WCW a check with more zeros than we'll ever see in our entire life. If That's not the main reason, I dunno what was.
