I also had this problem, if anybody remembers the NTauthority access leak they will know what your problem is.

A file required to run windows has been corrupted by a computer bug known as a Worm. more importantly Sasser.worm.

This proved hellish in 2001-2003, though now there are lots of easy ways to remove this bug. I find the best way is to start your computer in safe mode.

When you computer is loading up after the first few screens and it goes black before loading windows. Hit the f8 key (default on most computers) and select Safe Mode.

Safe mode loads your computer with minimum startup commands and is the best way to install new software/hardware.
Go to; Start>>Control Panel>>Network Connections
Right click on Local Area Network, it should be the only thing visible though it could be named differently, the icon is two computers connected through a wire.
Right click>>Properties>>Advanced and click "Protect my computer and local... etc."
Once that has been selected restart your computer, go onto the internet and download free anti-virus tools, AVG is a good free one.
Then download this file
http://securityresponse.symantec.com/avcenter/FixBlast.exe
That is used to remove the worm.
If you find that your computer popsup with a message saying your computer is shutting down in a certain amount of time. Go to

Start>>Run

type the following: Shutdown -a

During the delay, hit control-alt-delete
open the task manager
go to Processes
click the column headed "CPU" twice so that it sorts the running processes in descending order of how much they're hogging the computer's resources. Make sure you're scrolled to the top.
Apart from "system idle", there shouldn't be much that's taking excessive processor time for itself. Whatever is there is a clue to what's slowing down your computer.
One thing I had for a while was the app that talks to my mobile phone - for no reason it would lock the machine up for ages. Found it that way and got rid of it. Hope this helps.

I have same thing...have scanned it with AVG Pro plus bags of spyware scanners & still no joy...will watch with your question with interest.
PS...there is nothing using massive mounts of my cpu & physical memory usage is about 50-60%....veryyyyyy strange!..:-)
