CMOS(Complimentary metal Oxide Semiconductor) is basically a sensor which senses the Image.
VGA(Video graphics Array) is a std which supports a maximum resolution of 640 x480 Pixels
Now more the number of Pixels means more amount of light can enter the camera which results in a better display.A 1 megapixel camera has 1000000 pixels

CMOS is the type of sensor. You have CMOS and CCD. CCD is generally the more serious, however Canon have famously made all their cameras - even top end DSLRs with CMOS sensors.
VGA is 640 x 480, which is about 0.3 MP. The bigger the number of megapixels the better. SO a 2MP camera in the phone is much much better.

They are not easily compared because they refer to different things.
VGA stands for Video Graphics Array and usually refers to a Max resolution of 640 x 480 pixels. This is part of the VGA standard. http://en.wikipedia.org/wiki/Vga
CMOS stands for Complementary-symmetry/metal-oxide semiconductor which is a type of display technology but doesn't really refer to a particular resolution.

Megapixel is a very misused term although what it actually means is Mega (1 x million) x pixels.

VGA is only 640 pixels x 480 pixels which = 307200
To be 1 x Megapixel you would need a resolution of 1000x1000.
Basically the higher the resolution or Megapixel count, the better.
