Most states require corporations to name a registered agent when they file the company's article's of incorporation. The agent's job is to accept service of process in legal proceedings. This is necessary because a corporation is not a person (obviously), so when the corporation is sued it makes clear who is authorized by law to accept service of process on behalf of the corporation.

Check your state law for further details and requirements.

Many state laws, especially relating to corporations or real property, require someone in the actual state as a legal point of contact. This is often referred to as a resident agent, especially for corporations.
