Good answers already. Go with Jenelle. Sufi's slant that it's meant ironically is a stretch. It can be and there are plenty of instances where, spoken, it probably is a polite way of sayting "bite me". But consider the sentence: "The representative's objections to the amendent were duly noted in the Congressional record." I would say that's the essence as reflected in the other definitions provided here.

Colloquilally, it means "I understand what you said and I'll consider it in my decision"
It meaning refers to when important events were written into a chronicle or record. Duly noted means that the event (or advice or whatever) is "noted" (or taken into consideration) with the attention that it is "due".
i.e. "Noted with due diligence"

It means recorded in a proper manner.
Noted is pretty easy, it's recorded, either on paper or in memory.
Duly uses the same root as duty and/or due. In 'due course'.
To have recorded, as is one's duty or proper action, is 'duly noted'.

it means i understand and i will give it the priority i feel it deserves in my subsequent life and decisions. understand and remember.
but it doesn't mean i will comply. usually it is dismissive, in other words; I heard you but i'm not changing my mind. I understand your objection or your need but i will not be detered from my planned course of action.
