This isn't even close.
Spawn is one of the few characters that Superman is almost HELPLESS against. People who only know Superman the movies probably don't realize that Superman has no defense against magic- against mystical creatures and forces, he's affected just like any normal human. In his own comic books he's been pretty badly injured by garden-variety vampires. If a 15-year old bully swings a magic sword at Superman, he has to dodge, or it cuts him and he bleeds. Magic is every bit as effective against Superman as kryptonite- read your comics folks!
Superman can fly, but Spawn can teleport, so that advantage is gone.
Spawn in a very ugly and one-sided rout.

Spawn would have to get close to hurt Superman. All Superman has to do is use his heat vision or super breath. or just toss spawn into outer space.

Thats difficult, Superman is an Alien and draws his powers from the sun, and Spawns powers come from hell, but i remember reading somewhere that Spawns powers are limited, plus if he gets his head cut off he can die i remember from the dreadful film so maybe Superman has the edge there too, in that he could use his eye beams to saw his head off....unless Spawn can some how synthesise kyrptonite i see Supe's winning this one

in an early issue of the original series (the one where he is sent to the multiple leviles of hell for the second time) there is a prison filled will limbs that are remanicant of marvel and dc characters, and one hero 's siuet apears, this heroe is refureed as the greates of them all. he appears to be superman (his colors and cape are exposed. he then tells spawn to take all their strenght.
so in a sense spawn is superman.

Superman wouldnt really stand a chance since Spawn has power over the army of hell and all. I will say that Superman would get a couple punches in but what damage can those laser eyes do if his opponent is already dead??

No THAT'S a good question....I would have to go with Spawn. Clark my be this bad-*** compared to normal humans. But if you've read " Death of Superman "; we know that he can get his *** kicked without the use of kryptonite. So, with all of the powers of Hell as his disposal, Spawn wins, hands down.
