Justin owned four speedboats named porpoise, Priscilla, Providence, and Prudence. On April 2, Justin made written offers to sell the four boats in the order named for $4,200 each to Charles, Diane, Edward, and Fran, respectively, allowing ten days for acceptance. Was a contract formed in either a or b? and why?

a. Five days later, Charles received notice from Justin that he had contracted to sell Porpoise to Mark. The next day, April 8th, Charles notified Justin that he accepted Justin's offer.
b. On the third day, April 5, Diane mailed a rejection to Justin that reached Justin on the morning of the fifth day. At 10 am on the fourth day, Diane sent an acceptance by telegram to Justin, who received it at noon the same day.

OK. See other question for the basics. Let's walk through these.

In (a) the issue is whether the interaction between Justin and Mark canceled the offer from Justin to Charles. If not, then per the facts Charles accepted the offer.

So, the question is, was Justin required to hold the offer open for the 10 days, or could Justin withdraw the offer to Charles and sell the boat to Mark. Hint -- if this is a UCC contract, look at the Merchant's Firm Offer rule, and see if it applies.

As to (b) look at the timeline. Day 3 rejection mailed. Day 4 acceptance sent and received. Day 5 rejection received. So, you need to look at the Mailbox Rule, and whether a rejection is effective on dispatch or receipt.
