When somebody leaves the company we want to retain their e-mails for possible reference but we don't want the mailbox to be active.

Export their mailbox to a PST file, then delete (or disable) their account.

Yeah. well " maintaining" their emails means ...you are snooping where you don't belong as an ex employee...so you are invading their privacy...so stop snooping MSN ...you can be sued for that.
