Personally I think it's Wolvie who would win this fight because of his experience and since he's ruthless killer who loves what he does.

Wolverine. Spidey has his weblines, but if wolvie pulled one of them to him when spidey fired it, he'd sail right into those claws. About the strength, remember that Wolverine has whupped the hell out of the Hulk and Ben Grimm, along with a few other powerhoused (Lobo has about Superman-level strength, and Wolverine took his lunch, ate it, and told his mama about it), I'm guessing he could heal up about as fast as Spidey could dish it out (See Wolverine ish #43 for how ridiculously powerful his healing factor has become. It's just stupid now!) Besides, guys like the Scorpion and the Vulture are a couple of Spider-man's a list rogues, no way could either of them make Wolverine flinch! You're right about that last part, though, what REALLY gives Wolverine the edge is he's not afraid to kill Spider-man. Spidey will always hold back.

There was a four-issue limited series called Spiderman vs. Wolverine back in the day. It was well-illustrated and very good. They really only battled once in the whole thing and teamed up in the rest. Spidey bashed Wolvie when they did grapple. Punched his head through a headstone in a cemetery. Good stuff...

Wolverine - he's the best there is at what he does. I used to have a poster that featured that - way cool.
Spiderman would eventually run out of webbing because Wolverine would slice up his webs. That would leave them hand-to-hand. Even though Spiderman is stronger with his spider strength, Wolverine has those wicked claws he's not afraid to use.
Spiderman would be spider sushi - but it would be a good fight.

Why would they be fighting in the first place? They're on the same side.
In a fight, I'd have to say that Spiderman would win. Spidey would sling a bunch of webs. Wolverine wouldn't be able to use his blades to escape, and his strength alone isn't powerfull enough to break those webings.
Strength alone says it all. Spidey can lift ~10 tons. Woverine can lift ~800 pounds.
Spidey is 25 times stronger than Wolverine.
End of story.
