I think people say that when it really does no good to question whatever has happened. Kind of like when someone disappoints you, and you have just come to understand that people will occasionally disappoint... the why's and wherefores don't matter, so... it just is what it is.

It could be a little arrogance, or a way of saying that's just the way it is going to be, take it or leave it.

For example. If someone says, I hate the way meatloaf looks. It looks so nasty. Then someone else may reply, it is what it is. They're just basically saying accept it, that's just a part of what it is.
