It depends on yourself. Do you have feeling of him? Do you want to be boyfreind/girlfriend or just friends? If you do have feeling and willing to move to one more step. You should accept his offer. If you just only want to be friends, then just tell him honestly about "friends only". It won't waste his and your time/feelings

well i think if your intension is to get to talk to her more because you like her...then by all means go ahead (i would love that) if fact that happened to me once but... in the other hand if you know that she likes someone else or she has a boyfriend, then i suggest you dont. but i would cerantly love that!
