I am in Nevada, local racetrack organization. I have been on the board of directors as an officer for three years now and the "new" board coming in this next race season wants to combine the Treasurer/Secretary positions and they want to "hire" someone to do the job. Can they do that? Or does the club have to elect an individual as they have to elect the President, and VP and board members.

Long story short, the nominated candidates for the "new" board are trying to run the club by their own rules and change the bylaws to "suit" their needs, wants and desires.

Regarding what? Your question as stated would take a book to answer - and there are different rules in different countries - you don't say where you are, and this is a multi-national Board.

It depends upon which state the non-profit is Incorporated in, and also upon the by-laws of the corporation.
