If I make an assumption about your question, then you should just thank him politely and say that you are really flattered, maybe pay him a compliment (you've got a great sense of humor or you seem really cool--don't say he's "nice"), but you're not interested in him beyond friendship. And only if you mean it say--"maybe not forever, but for now".
