Thanks for asking this - I'm seeing a lot of thoughtful answers here.
It's not a scenario we can just dismiss. That is, just because an alien species has the technology to cross interstellar space, does not automatically mean that they have all it would take to conquer Earth - nor that they would not be motivated to do so.
The thing is, this kind of scenario has to be carefully thought out. One of the ways that science-fiction authors have used to make a believable story is that the invaders are not the makers of the interstellar transport technology, but their users.
I remember the following scenario from a role-playing game I once browsed: imagine an intersteller transport, crewed by an advanced species, who are shipping their servants - a bunch of onery, tough mercenary soldiers of another species. The soldiers rebel, kill their alien overlords - and then have to pilot a troop transport they barely know how to fly.
They look and see our sun, and sensors say there is a habitable world three planets out from it...
Along these lines - if you want to read a terrific book about alien invasion, and the human race's fight for Earth, read "Footfall" by Larry Niven and Jerry Pournelle.

All that said, I think the above is a low end probability. The way I see it, it is far more likely that any alien invader would have such advanced technology that we'd have as much chance to kick their butts (if they had any) as a caveman would of disabling an Apache attack helicopter with a spear.
...and that's the GOOD scenario.
The "bad" scenario is, they would be so advanced, not only would we not have the technology to fight them, we wouldn't even know *how* to fight them, or even, really, what they were. Gulp.

It could be a close call, depending on a lot of factors.
If these aliens had star trek technology (warp drive, phasors, etc.) and had hostile intent, we'd be pretty much screwed. It would be like Hernando Cortez and his conquistadors and the Aztec Empire (the Aztecs, some 1 million strong, were crushed by the Spanish, with only 600 men, 16 horses, and 14 cannon).
On the other hand, if the aliens were just slightly more advanced than our own civilization (computer age versus atomic age) the odds would be more in our favor. We'd have the home ground, we'd have better access to resources, and most of all, we'd probably have a greater will to fight...it is OUR world, after all! :D

they'd have the further constructive guns yet heritage has shown that some situations a protection stress with a lot less stepped forward guns can each in certain situations win a conflict with a protection stress that has more advantageous guns. they'd probably win yet there could continuously be some way that someone could deal with to metallic their technologies and how you should use it. also people could maby win in the journey that they were to wrestle a gorilla conflict and were to make there armies seem more proper than they extremely were. Wile the extraterrestrial beings would probably win i imagine we could nevertheless be open to the possibility of the people determining a thanks to get around the opportunities and beet the a ways more advantageous military.

We would... although it wouldn't be much of a win. I think that we would wipe them out using our nuclear arsenal at the cost of our own lives as well.
Humans are strange like that. Rather than be enslaved or become their cattle we would probably opt for the "Scorched Earth" win.
You know,.... "If we can't have it than NOONE will" sort of mentality.
I don't know if that would be good or bad really. If you think about it, noone would really want to become a slave to some alien race. Perhaps it would be better to go out in a "blaze of glory" versus whimpering in the corner of our new "masters" homes.
But like it was mentioned earlier, I would hope that an Alien race would have better things to do than come all this way just to pick a fight with a bunch of semi-civilized "apes."

That one is too close to call. We can make no assumptions on the breadth of their technology, or on their intention. We have no idea about their ability to survive in our atmosphere and in our environment. Would they be severely atrophied from extended space travel? Would their immune systems be susceptible to our pathogens? Would the weight of one atmosphere be enough to crush them? And why would they bother if that was the case? We discovered that the moon is not compatible to our earthling bodies...and we still aren't living there? Would we have expended the effort to run off residents of the moon if there had been any? I doubt it, as long as they presented no risk to us...and guess what? We would present very little risk outside of our atmosphere to any visiting aliens! On the other hand...perhaps they would be leaps and bounds ahead of us in weapons technology too, and then who knows. I don't think that we would go down without making a tenacious stand, and the aliens could not give up until they had dug the last of out of our hiding places, shooting while we were caught. Would it be worth it to them? Doubt it.

Since they have the ability to make the trip here it is pretty obvious that we wouldn't have a chance. But why would they try to attack us in the first place? This is a very stupid and illogical senario. If we discovered life on another planet, would our first reaction be to Nuke it? Duh. If Aliens had the technology to visit us, they probably would already have the technology to destroy all life here in a matter of minutes, no invasion necessary. Heck, we already have the technology to do that, and we can barely build machines that can leave the solar system. Of course, this premise makes a fun storyline for science fiction writers though.

We would win. Will Smith would fly a captured UFO from Area 51 and give the mother ship a virus and a nuke. Then our F-18s would be briefly superior to the aliens. A crazy cropduster would then fly his F-18 into the weapon as it fires and cause a massive chain reaction that kills them all.

to sharks we are the aliens.....they were here alot longer than us...our boats to them could be the spaceship and were always tagging them with something to "study and trace" them. just a thought I had during shark week. Aliens would kick our butts...do you really see the world uniting for anything? We cant even get the races in the US to get along.When thinking of aliens I think they will either be peaceful or pretend to be for a couple years before they eat us all.

It takes a VERY powerful technology to cross the incredible distances between the stars. Someone who was kicked off their homeworld and had to go looking for a new one would not take "no" for an answer. And, if they weren't forced to leave, why would they bother to travel? It's SO-OO far away!!! I
am afraid that we wouldn't have a snowballs' chance against a technology that could do that.
