My educated guess would be that its body falls to the bottom of the sea where it decomposes and is fed upon by numerous other sea creatures. It would be kind of parallel to what happens when animals die on land.

Check www.newscientist.com. There was an interesting article on this topic in one of their magazines a few weeks ago. To cut a long story short, a whole lot of different living things live on it, and the whole process of decomposition takes centuries.
