Is it for a job?

Say that it is better for you personally to accept the other offer. If they are truely keen on you they might try to match the money or benefits of the other offer.

However, if they are jerks and you have already signed on the dotted line they could sue you for breach of contract.

I was in a similar predicament and told the first company that I was offered a job at XYZ company and think this is a better fit for me.
Thank them for their offer of a job and gracefully back out.
So long as you hadn't signed any paperwork there is nothing legally binding to your verbal commitment.
You never want to burn bridges and always keep your options open.

Just say your sorry but certain circumstances arose and you need to decline their offer. No need to go into detail. If they are rude enough to ask just say its personal and you can't go into detail. If they try to accommodate you by saying you can start later decline and move on. They can't do anything if you don't take their offer. They can't make you work.
