That's what attorneys are for. Such documents protect legal rights and impose legal obligations, and in many states that kind of advice is the definition of the practice of law.

But if you want to do it on your own, try legal sites like nolo.com or findlaw.com -- many have sample documents you can take and modify.

Your local IP attorney would be the best bet.

You may not want to pay his fee now, but you will likely pay dearly if you try to do it yourself.
