If you have XP. there is a way, but timing process.

Take XP CD. chaning boot from CD in BIOS. restart the system. start as normal installation process. after you have given drives option to install XP. select the drive where the current OS is there, installation process makes a note saying "another OS is already there. you want to repair it" say yes.

rest all work as normal installation process.

not data will be lost except only some installed progs may need to reinstall.

when u r assigning the passwd to the administrator,there will be one option like "change the passwd at next logon"
then restart the system,without logon as a admin u can change the passwd

Re-install your OS. Select Upgrade option.

You need physical access to the system in question.
You will need the system to be bootable to either CD, Floppy, or USB
You will need software to make the requested change.
